It is proposed that, from January 1, 2025, the scope of powers of notaries public to make registrations in the Commercial Register should be significantly extended.
Currently, notaries are permitted to record only the initial registration of a limited liability company in the Commercial Register.
The Ministry of Justice has recently issued a draft decree under which notaries, as registrars, will be granted the power to register also changes to the registered data of a limited liability company in the Commercial Register, such as a change of the company’s managing directors, registered office, participants (i.e. shareholders), amount of registered capital, etc.
However, certain complex changes in a limited liability company will continue to be registered only by courts, namely the registration, and changes to the registered details, of a limited liability company in the Commercial Register as a result of transformation, such as a company merger, a cross-border transformation, or a change of legal form.
Since a limited liability company is definitely the most widespread legal form of a company used in the Slovak business environment, it can be assumed that the handling of the majority of proposals for changes in data registered in the Commercial Register will be transferred from courts to notaries. This should, in general, speed up all proceedings related to the Commercial Register and lead to the elimination of chronic non-compliance of courts with the statutory deadline of two working days for issuing a decision.
